1. Overview & Service Scope

GoPayNag ("we", "our", or "us") operates an independent milestone escrow, payment security, and deliverable release infrastructure for creative studios, freelance designers, and their clients. Our platform enables creative professionals to issue deposit-first invoices, provides clients with a secure payment and deliverable handoff portal, and ensures automated, cryptographically secured release of master project files upon milestone settlement.

2. Subscription Plans & Pricing

GoPayNag offers monthly subscription access:

• Standard SaaS Plan: $19.00 USD per month following public availability.
• Founding Member Tier: $9.50 USD per month for the first 20 verified founding designers.
• Beta Testing Period: During preview periods, payment processing functions operate in test and simulation mode labeled "Demo — No Real Charge".

3. Cross-Border & International Invoicing

GoPayNag supports international digital service exports. Invoices may be generated in supported currencies (including USD and INR). Client payments are fulfilled via compliant payment processors (including Stripe). You agree to comply with applicable domestic and foreign tax and export compliance obligations in connection with services rendered.

4. Designer & Client Responsibilities

• Work Ownership: Designers represent that they own or hold rights to invoice for deliverables uploaded.
• Late Fees: Day-14 late-fee notices are included solely when explicitly consented to on the upfront invoice summary. No fee is ever charged automatically.
• Deliverable Protection: Watermarked low-resolution previews are presented to the client prior to payment. Master source files are released automatically upon full payment receipt.

5. Payment Terms, Mid-Project Cancellation & Kill Fees

GoPayNag operates on a milestone and deliverable-locked model designed to maintain transparency and fair dealing between designers and clients:

• Upfront Deposits & Kill Fees: Deposits (standard 50% or as designated on the invoice) secure designer calendar allocation, preliminary research, ideation, and draft concepts. Deposits are non-refundable once creative work has commenced, serving as an agreed kill fee.
• Mid-Project Termination: Either party may discontinue the engagement prior to final delivery. In the event of early termination, the client is fully released from paying any remaining unpaid balance or unbilled milestones. The designer retains the deposit for time and concept development already expended.
• Intellectual Property & Draft Protection: Ownership of draft sketches, watermarked previews, and unapproved concepts remains exclusively with the designer. No commercial rights, copyright transfer, or publication licenses are granted unless the invoice is settled in full.
• Designer Non-Delivery: If a designer fails or refuses to provide agreed deliverables after a payment is settled, the client is entitled to a prompt refund of the unfulfilled balance portion pursuant to our Refund Policy.
